These Terms and Conditions govern your use of our website and services, including WhatsApp Business API integration, chatbot development, WhatsApp CRM tools, and website development. By accessing our website or engaging our services, you agree to be bound by these terms. If you do not agree, please do not use our services.

1. Acceptance of Terms

By accessing or using MiniBee's website, products, or services, you confirm that you are at least 18 years of age, have the legal authority to enter into these terms, and agree to be bound by all provisions herein. These terms apply to all visitors, clients, and users of our services.

If you are using our services on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.

2. Services Description

MiniBee provides the following technology services to businesses:

  • WhatsApp Business API integration and setup
  • Custom chatbot development for customer service automation
  • WhatsApp CRM tools for conversation management and analytics
  • Website design and development
  • Ongoing technical support and maintenance

The specific scope, deliverables, timelines, and pricing for each engagement will be defined in a separate Service Agreement or Statement of Work (SOW) agreed upon by both parties.

3. Client Obligations

As a client of MiniBee, you agree to:

  • Provide accurate, complete, and up-to-date information required for service delivery
  • Cooperate with our team and respond to requests in a timely manner
  • Use our services only for lawful business purposes
  • Not use our services to send spam, unsolicited messages, or engage in any deceptive practices
  • Maintain the confidentiality of any login credentials or API keys provided
  • Promptly notify us of any unauthorized access or security breach
  • Ensure your end-users have consented to receive communications via WhatsApp

4. WhatsApp API Compliance

Our WhatsApp Business API services are subject to Meta's (WhatsApp's) Business and Commerce Policies. By using our WhatsApp API services, you agree to:

  • Comply with all WhatsApp Business Policy guidelines at all times
  • Only send messages to users who have opted in to receive communications
  • Use approved message templates for outbound notifications
  • Not send prohibited content including spam, misleading information, or illegal content
  • Maintain opt-out mechanisms and honor unsubscribe requests immediately

Violation of WhatsApp's policies may result in suspension of your WhatsApp Business Account. MiniBee is not liable for account suspensions resulting from client policy violations.

5. Payment & Billing

Payment terms are as follows:

  • All fees are quoted in Indian Rupees (INR) unless otherwise specified
  • A deposit (typically 50%) is required before project commencement
  • Remaining balance is due upon project completion or as per the agreed milestone schedule
  • Monthly retainer or subscription fees are billed in advance
  • Invoices are due within 7 days of issuance unless otherwise agreed
  • Late payments may attract a 2% monthly interest charge
  • All fees are non-refundable once work has commenced, except as outlined in our refund policy

Any additional work beyond the agreed scope will be quoted and billed separately with prior client approval.

6. Intellectual Property

Upon full payment of all fees, clients receive ownership of the final deliverables (e.g., website code, custom chatbot flows) created specifically for them. However:

  • MiniBee retains ownership of all proprietary tools, frameworks, and methodologies used in service delivery
  • Third-party components (libraries, plugins, APIs) remain subject to their respective licenses
  • MiniBee reserves the right to display completed work in our portfolio unless the client requests otherwise in writing
  • Clients grant MiniBee a limited license to use their brand assets solely for the purpose of delivering the agreed services

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This includes:

  • Business strategies, customer data, and financial information
  • Technical specifications, source code, and system architecture
  • Any information explicitly marked as confidential

Confidentiality obligations survive the termination of our agreement for a period of 2 years. Exceptions apply where disclosure is required by law or where information is already publicly available.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • MiniBee's total liability for any claim arising from our services shall not exceed the total fees paid by the client in the 3 months preceding the claim
  • We are not liable for indirect, incidental, special, or consequential damages including loss of profits, data, or business opportunities
  • We are not responsible for downtime or service interruptions caused by third-party platforms (WhatsApp, Meta, hosting providers)
  • We do not guarantee specific business outcomes, revenue growth, or message delivery rates

Our services are provided "as is" and "as available." We make no warranties, express or implied, regarding fitness for a particular purpose or uninterrupted service.

9. Termination

Either party may terminate the service agreement under the following conditions:

  • With 30 days written notice for convenience (either party)
  • Immediately by MiniBee if the client breaches these terms or WhatsApp's policies
  • Immediately by either party in the event of insolvency or bankruptcy of the other party

Upon termination, the client is responsible for payment of all work completed up to the termination date. MiniBee will provide a reasonable transition period to hand over deliverables and data.

10. Dispute Resolution

In the event of any dispute arising from these terms or our services, the parties agree to:

  • First attempt to resolve the dispute through good-faith negotiation within 30 days
  • If negotiation fails, submit the dispute to mediation before pursuing legal action
  • Any unresolved disputes shall be subject to the exclusive jurisdiction of the courts in Rajkot, Gujarat, India

11. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of India, specifically the Information Technology Act, 2000 and applicable rules thereunder. Any legal proceedings shall be conducted in the courts of Rajkot, Gujarat, India.

12. Changes to Terms

MiniBee reserves the right to modify these Terms and Conditions at any time. We will notify existing clients of material changes via email or through our website. Continued use of our services after changes are posted constitutes acceptance of the updated terms. We recommend reviewing these terms periodically.
